By accessing or using Incepto Studio ("we," "our," or "us") and our website located at incepto.studio (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

Incepto Studio is an AI-powered filmmaking platform that provides tools and services for scriptwriting, storyboarding, media generation, and production management. The Service is currently in development and accessible through a waitlist program.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, at our sole discretion.

3. User Accounts and Registration

6. AI-Generated Content

The Service uses artificial intelligence to generate content, including but not limited to scripts, images, videos, and audio. You acknowledge and agree that:

• AI-generated content may not always be accurate or suitable for your intended use
• You are responsible for reviewing and verifying all AI-generated content before use
• We do not guarantee the originality, quality, or legal compliance of AI-generated content
• You may be subject to additional terms and conditions from third-party AI service providers
• You are responsible for ensuring that your use of AI-generated content complies with applicable laws and regulations

7. Payment Terms

If you purchase any paid features or services:

• You agree to pay all fees associated with your subscription or purchase
• Fees are non-refundable except as required by law or as explicitly stated in our refund policy
• We reserve the right to change our pricing with reasonable notice
• You are responsible for any applicable taxes
• Subscriptions automatically renew unless cancelled before the renewal date

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INCEPTO STUDIO, VIDWAN.AI, OR THEIR DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

11. Indemnification

You agree to defend, indemnify, and hold harmless Incepto Studio, Vidwan.ai, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

These Terms shall be governed and construed in accordance with applicable laws, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
